ARTICLE I
DEFINITIONS
Definitions. In addition to the terms defined elsewhere in this Agreement, for all purposes of this Agreement, the following terms shall have the meanings indicated in this Article 1:
"Agreement" shall have the meaning ascribed to such term in the Preamble.
"Company" shall have the meaning ascribed to such term in the Preamble.
"Execution Date" Shall have the meaning of the date all completed transaction documents have been submitted to the appropriate regulatory authorities "Closing" means the closing of the purchase.
"Closing Date" means the Trading Day when all of the Transaction Documents have been executed and delivered by the applicable parties thereto, and all of the conditions set forth in this agreement hereof are satisfied, or such other date as the parties may mutually agree.
"Escrow Account" means an account set up by the escrow company to hold the Net Sale Proceeds up until such time as the agreement has been executed and the Closing completed.
