LETTER OF GUARANTEE TO BENEFICIARY STOCK OPTIONS HOLDER OF
COMMODITIES OPTION CONTRACT
1) PRIME NATIONAL INSURANCE COMPANY (the “Guarantor”) will make a total Guaranteed payment of
$790,000.00 Seven Hundred Ninety Thousand Dollars Only to Mr. XXXX (the “Beneficiary”)
having its registered address at XXXXX This payment also represents the 3%refundable
amount of insurance which is $18,000.00 Eighteen Thousand Dollars Only that will be paid back to the Beneficiary as
part of the contract agreement that was agreed upon by both parties dated 29th of September 2010, arranged by THE
WALLSTREET M&A GROUP (the “Commission”) fourteen (14) business days after the transfer and release of the total net
payment reflected on the contract agreement.

2) The Guarantor (PRIME NATIONAL INSURANCE COMPANY), having its registered offices at 70 Pine Street, New
York, New York 10270 and represented for the
purpose of the signature of this guarantee by its authorized representative[s], hereby irrevocably undertakes to pay to the
Beneficiary, upon its first demand, all amounts to the Beneficiary by the contract agreement up to a maximum of $143,640.00
One Hundred Forty Three Thousand Six Hundred Forty Dollars Only, if the Purchaser/Buyer of his
shareholdings/securities fails to fulfill its contractual obligations or backed out of the transaction in accordance with the
terms specified in the Agreement and any subsequent amendments, as the case may be.
